Terms & Conditions
Effective date: August 2025
These Terms & Conditions (“Terms”) govern your access to and use of mothershipvans.com and related online services (the “Site”), and—where stated—set high-level commercial terms for inquiries, deposits, orders, rentals, and service (collectively, the “Services”). By using the Site or engaging us, you agree to these Terms.
If you are entering into these Terms on behalf of a company or other entity, you represent you have authority to bind that entity. Additional written agreements (e.g., Build Agreement, Sales Agreement, Rental Agreement, Financing documents) control if they conflict with these Terms.
1) Who we are
“Mothership Vans,” “Mothership,” “we,” “us,” or “our” means the business operating the Site and Services from San Diego, California, USA.
2) Eligibility & account
You must be at least 18 (or the age of majority where you live). You’re responsible for the accuracy of information you submit and for safeguarding any credentials used on the Site.
3) Site license & acceptable use
We grant you a limited, revocable, non-transferable license to access the Site for personal or internal business use. Do not: (a) copy or scrape content; (b) bypass security; (c) interfere with the Site; (d) use the Site for unlawful, infringing, or misleading purposes.
4) Intellectual property
All content on the Site—including text, graphics, photos, video, designs, logos, and documentation—is owned by us or our licensors and protected by IP laws. You may not use our marks, trade dress, or content without prior written permission.
If you submit content (e.g., testimonials, photos), you grant us a non-exclusive, worldwide, royalty-free license to use and display it in connection with the Services, subject to our Privacy Policy.
5) Information on the Site (illustrations, specs, availability)
Photos, renders, and descriptions are illustrative. Features, dimensions, and finishes may vary by build. Availability is not guaranteed until confirmed in a signed agreement and deposit received. We may update content, correct errors, or change offerings at any time.
6) Inquiries, quotes, and pricing
Quotes, price examples, and timelines shown on the Site are informational and not offers. Final pricing, options, and delivery dates are set in your executed agreement(s). Taxes, title, registration, delivery, and third-party fees are additional unless stated otherwise. We may correct typographical or computational errors.
7) Deposits & payments (high-level summary)
Design deposit: Due to begin design work; typically non-refundable but credited to your final balance (see your Build Agreement).
Build deposit: Secures your production slot; refundability is governed by your agreement.
Final payment: Due at delivery or as stated in your agreement.
We may accept wire/ACH or other methods designated in invoices. Late amounts may accrue fees/interest as allowed by law. Ownership/title transfers upon cleared funds as specified in your agreement.
If there is any conflict, your signed agreement controls.
8) Financing & insurance
Financing is provided by third-party lenders; approval, rates, and terms are their decision. Insurance is your responsibility; we may facilitate introductions (e.g., Roamly) but do not sell insurance. You authorize us to share build documentation with such partners only at your request.
9) Rentals (Cybertruck or other vehicles)
Rental availability, eligibility, deposits, mileage, use restrictions, and liability are governed by a separate Rental Agreement signed at booking or pickup. If these Terms conflict with that agreement, the Rental Agreement controls for the rental.
10) Delivery, shipping & risk of loss
Pickup is typically at our San Diego facility. If we arrange shipping, a third-party carrier transports the vehicle; risk of loss transfers per your Sales/Build Agreement or bill of lading. You agree to inspect upon receipt and note any carrier-related damage with the carrier.
11) Modifications & change orders
Changes to scope after design approval may affect cost and timeline. We document change orders in writing; work pauses until approved.
12) Warranties & support (summary)
Base vehicle: Covered by the manufacturer (e.g., Mercedes-Benz New Vehicle Limited Warranty).
Craftsmanship: Our build workmanship is covered by our builder warranty (e.g., 1-year), as described on the Warranty page and/or your agreement.
Components: Third-party components (e.g., batteries, electronics) carry their own manufacturer warranties.
Tech support: We provide owner support for setup and troubleshooting as described on our Warranty page.
Disclaimers: Except as expressly stated in your signed agreement or on a written warranty, the Services and Site are provided “as is” and “as available,” without implied warranties of merchantability, fitness, or non-infringement to the maximum extent permitted by law.
13) Service & maintenance
You are responsible for routine maintenance per the chassis and component manufacturers. For build-related service, contact us; some work may require our facility. Unauthorized modifications can affect warranty coverage.
14) Safety & compliance
You agree to use the vehicle and equipment responsibly and in accordance with law, posted instructions, and manufacturer guidance. Off-road and overland travel carry inherent risk. You acknowledge that payload limits, towing limits, and local regulations apply and are your responsibility.
15) Taxes & registration
You are responsible for taxes, registration, and fees unless your agreement says otherwise. We can provide documentation (invoices, build sheets, GVWR) to assist your filings. We do not provide tax advice.
16) Privacy
Our Privacy Policy explains how we collect and use data. By using the Site or engaging with us, you consent to those practices.
17) Third-party links & tools
The Site may link to external sites or tools (e.g., financing portals, mapping, communications). We are not responsible for their content or practices.
18) Disclaimers; limitation of liability
To the fullest extent permitted by law:
We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or revenue; or loss of data, goodwill, or opportunities.
Our total liability for claims arising from or related to the Site or Services (excluding amounts owed under a signed Sales/Build/Rental Agreement) is limited to the greater of $100 or the amounts you paid to us for the specific Service giving rise to the claim in the 12 months before the event.
These limits do not apply where prohibited by law.
19) Indemnification
You agree to defend, indemnify, and hold harmless Mothership and its affiliates, officers, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or Services, violation of these Terms, or violation of law or third-party rights.
20) Dispute resolution; arbitration; class action waiver
Informal resolution first. Contact us to try to resolve any dispute within 30 days.
Arbitration. Except for claims that qualify for small-claims court, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS in English, in San Diego County, California, before a single arbitrator under the JAMS Rules.
Class waiver. You and Mothership agree to bring claims only in your individual capacities, not as plaintiffs or class members in any class or representative proceeding.
Injunctive relief. A court may enter injunctive orders to protect IP or security while arbitration proceeds.
If you are a consumer and mandatory local law prohibits arbitration or class waivers, this Section applies only to the extent permitted.
21) Governing law & venue
California law governs these Terms, without regard to conflicts of law. Subject to the arbitration clause, exclusive venue is in state or federal courts located in San Diego County, California.
22) Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control (e.g., supply chain issues, labor disputes, weather, acts of God, government action).
23) Communications & e-signatures
You consent to receive communications electronically (email, SMS where applicable). Electronic signatures and records are valid and enforceable as paper equivalents.
24) Changes to the Terms
We may update these Terms from time to time. The “Effective date” will change when updated. Your continued use of the Site or Services after changes means you accept the revised Terms.
